Definitions
- Service or Numa: the online management software published by Velix Digital, its mobile applications, documentation and support.
- Customer: the company or organisation that subscribes to Numa.
- User: any individual authorised by the Customer to use the Service under its credentials.
- Customer Data: all information entered, imported or generated by the Customer and its Users in the Service.
- Plan: the subscription level chosen (Essential, Team or Business), which determines the features, the number of included Users and the level of support.
Purpose and acceptance
These terms govern access to and use of Numa: sales management (customers, suppliers, quotes, invoices, purchasing), inventory, cash, human resources and payroll, documents and approval workflows, mobile applications.
They are accepted by signing the order form or, failing that, by opening the account and using the Service for the first time. They supplement the order form or the contract signed with the Customer; in case of conflict, the signed document prevails.
The service
Numa is provided as a hosted service (SaaS). It runs in a web browser on desktop, tablet and phone, with nothing to install. The warehouse and project manager applications are added to the phone’s home screen and work offline, syncing when the network is back.
Onboarding is included in every Plan: import of customers, items and opening balances from your files, configuration and User training according to the Plan.
Numa produces and transmits electronic invoices within the framework set by the Moroccan tax authority (DGI). The Customer remains solely responsible for the accuracy of the data entered, for its tax and social declarations (VAT, CNSS, payroll) and for decisions taken on the basis of the Service’s reports.
Account and access
Each Plan includes a number of named Users; additional Users can be added at any time at the current rate. Each User has personal credentials and a role (management, sales, warehouse, accounting…) that limits the menus and data they can access.
The Customer manages its own Users, roles and permissions. It is responsible for keeping credentials confidential and for all actions performed from its accounts. It informs Velix Digital without delay of any unauthorised access.
Customer obligations
- Use the Service in accordance with the law, its intended purpose and these terms.
- Not attempt to access data or features not intended for it, nor disrupt the Service (abnormal load, circumventing security, reverse engineering).
- Not resell, sublicense or share access to the Service with unauthorised third parties.
- Guarantee the accuracy of Customer Data and hold the rights required to process it, in particular under law no. 09-08 for the data of its own customers and employees.
- Keep its own exports where needed for its legal obligations.
Availability, maintenance and support
Velix Digital uses the means necessary to keep the Service accessible at all times, outside maintenance operations. Updates are deployed roughly every three weeks, at night, without service interruption. Planned interventions likely to affect use are announced in advance whenever possible.
Support is provided during business hours, by e-mail, WhatsApp or through a dedicated contact depending on the Plan. The public roadmap shows planned developments for information only: it is not a commitment to deliver on a given date.
Intellectual property and data ownership
Velix Digital grants the Customer, for the duration of the subscription, a non-exclusive, non-transferable right to use the Service. Numa, its code, screens, documentation and trademark remain the exclusive property of Velix Digital.
The Customer remains the sole owner of Customer Data. Velix Digital processes it only to provide the Service, as a processor, and uses it for no other purpose. It may produce aggregated, anonymous statistics to improve the product.
Prices, invoicing and payment
Prices are in dirhams excluding VAT, per month and per Plan, as displayed on numa.ma and stated in the order form. The annual subscription is invoiced in advance and includes one free month; the monthly subscription is invoiced each month, with no commitment. Additional Users are invoiced pro rata for the remaining period.
With a 24-month commitment, the price is guaranteed for the whole period. Otherwise, Velix Digital may revise its prices at renewal with 30 days’ notice; the Customer is then free not to renew.
Invoices are payable upon receipt by bank transfer. In case of late payment, and after a formal notice left unanswered for fifteen days, Velix Digital may suspend access to the Service until payment, without prejudice to the late-payment penalties provided by law.
Term, renewal and termination
The annual subscription renews automatically for the same period unless terminated in writing at least 30 days before the renewal date. The monthly subscription can be cancelled at any time; cancellation takes effect at the end of the current month.
Either party may terminate as of right in the event of a serious breach by the other party that is not remedied within 30 days of a formal notice. Velix Digital may immediately suspend an account used unlawfully or in a way that compromises the security of the Service.
Data portability
The Customer can export its data at any time, to Excel and PDF, with no exit fees. At the end of the subscription, read access and export remain available for 30 days; migration assistance can be offered on quotation.
After that period, Customer Data is permanently deleted within 60 days, subject to legal retention obligations and to backups, which are purged in their normal cycle.
Liability
Velix Digital is bound by a best-efforts obligation. Its liability is limited to proven direct damage and cannot exceed the amounts paid by the Customer during the twelve months preceding the event giving rise to it.
Indirect damage is excluded, in particular loss of revenue, customers or data attributable to the Customer, and the consequences of decisions taken on the basis of the Service’s reports. These limitations do not apply in case of wilful misconduct or gross negligence.
Force majeure
Neither party can be held liable for a failure caused by a force majeure event within the meaning of the Moroccan Code of Obligations and Contracts: an unforeseeable, irresistible and external event such as a widespread network outage, a natural disaster or a decision of the authorities.
Personal data
Personal data is processed in accordance with law no. 09-08 and as described in the privacy policy. The Service is hosted on servers located in France; this transfer is subject to the required formalities with the CNDP.
The Customer warrants that it has informed the individuals whose data it enters into Numa and that it holds the necessary legal bases.
Changes to these terms
Velix Digital may update these terms to reflect changes to the Service or to regulations. The Customer is informed by e-mail at least 30 days before they take effect. Continued use of the Service after that date constitutes acceptance; in case of a substantial adverse change, the Customer may terminate before it takes effect.
Evidence
In accordance with law no. 53-05 on the electronic exchange of legal data, the logs, timestamps, status histories and approvals recorded by Numa are deemed authentic between the parties, unless proven otherwise.
Governing law and disputes
These terms are governed by Moroccan law. The parties endeavour to settle any dispute amicably within 30 days. Failing that, the Commercial Court of Casablanca has exclusive jurisdiction.
